These Terms of Service (“Terms”) govern your use of the BloodSense services. Please read them carefully.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR SERVICES.

1. Your Agreement

Welcome to BloodSense, a service provided by Smart Medical Care Ltd (“SMC”, “BloodSense”, “we”, “us”, or “our”), a company registered in England and Wales (Company Number: 15309552), with its registered office at 167-169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom.

These Terms of Service (“Terms”) form a binding legal agreement between you and us. They govern your use of our website, bloodsense.ai (the “Site”), and our related lab result explanation services (the “Services”).

By accessing or using our Services, you agree to comply with and be bound by these Terms, along with our Privacy Policy, which are incorporated by reference into these Terms. If you do not accept these conditions, you may not use our Services.

Presence in the European Economic Area

SMC’s operations within the European Economic Area (EEA) are supported by Smart Medical Care SAS, a French simplified joint-stock company (société par actions simplifiée, RCS Nice 932 924 194), with its registered office at 37 Avenue Maréchal Foch, 06000 Nice, France.

For users residing in the EEA, all health data processed through the BloodSense service is hosted exclusively on Microsoft Azure servers located in France, benefiting from the French Health Data Hosting certification. This ensures compliance with the strictest European regulatory requirements for sensitive health data.

2. The BloodSense Service

2.1. Our Service

BloodSense is an AI-powered software solution designed to help you understand lab analysis reports (blood, urine, and stool) by providing simplified, accessible explanations. Our principal service includes the generation of a report that explains your results in plain language, provides general wellness suggestions tailored to your profile, and offers a list of relevant follow-up questions to discuss with your doctor.

The scientific and medical quality of the AI-generated explanations is overseen by our independent Scientific and Ethics Advisory Board, composed of qualified healthcare professionals from diverse medical specialties. Their role is strictly limited to validating the rules and logic that guide the AI within the scope of health literacy and scientific education.

2.2. Important Medical Disclaimer — Non-Medical Device

Your health is our priority, which is why this disclaimer is a critical part of our Terms.

The BloodSense Service is an educational and informational tool designed to help you understand your lab results. It is not a medical device. The information provided is for educational purposes only and:

  • Does not constitute a medical diagnosis, medical advice, or treatment recommendation.
  • Does not replace a consultation with a qualified healthcare professional.
  • Should not be used to make health decisions or delay seeking professional medical advice.
  • Is not intended to predict the evolution of any pathology or provide personalized therapeutic recommendations.

Only a qualified healthcare provider can interpret your results in their full medical context. You must always consult a qualified healthcare provider for any diagnosis or treatment decisions, and you should not delay seeking professional medical advice because of information you received through our Service.

This non-medical device status has been confirmed by the French National Agency for the Safety of Medicines and Health Products (ANSM) and is consistent with our classification under applicable regulations.

3. Access and User Accounts

3.1. Age Requirement: You must be at least 18 years old to use the Services. Your use of the Services confirms you meet this requirement.

3.2. Accurate Information: You agree to provide accurate and complete information when using our Services, including your name, email, and lab report. For details on how we handle your information, please review our Privacy Policy.

3.3. Patient Portal (Future Evolution): Currently, purchases are made without creating a formal account. However, we plan a future evolution with a secure “Patient Portal” to access past reports. We will notify you when this feature is available, and you will be responsible for keeping your login credentials confidential.

4. Permitted Use

4.1. Your License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use only. This includes viewing, printing, and sharing your report with healthcare professionals.

4.2. Prohibited Activities: You agree not to use the Services to:

  • Violate any applicable laws or infringe on third-party rights.
  • Impersonate any person or entity.
  • Attempt to reverse-engineer, decompile, or discover the source code of our technology.
  • Use any automated process, such as “scraping,” to extract data from the Site.
  • Interfere with the security or integrity of our Services or develop a competing product.
  • Upload content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.

5. Your Content and Data

5.1. Your Input Data: You are solely responsible for the information and files you upload (“Input Data”). You retain full ownership of your Input Data and guarantee you have the right to provide it to us.

5.2. AI-Generated Output Data: We assign to you all our rights and interest in the AI-generated report (“Output Data”) created specifically for you.

5.3. Understanding AI-Generated Content: You acknowledge that AI-generated content is probabilistic and may sometimes contain inaccuracies or produce similar outputs for different users. The Output Data is for informational guidance only and is never a substitute for professional medical advice.

5.4. Pseudonymization of Your Data: As described in our Privacy Policy, our internal tool removes your direct identifiers (name) from your lab test before any AI analysis. This process constitutes pseudonymization: your health data is no longer directly identifying, but remains personal data as long as it can be linked to you via your email address.

5.5. Use of Your Content for AI Improvement: As detailed in our Privacy Policy, we use your Input Data and Output Data to provide and generate the Services. We may also use your data, after a process of aggregation rendering it truly anonymous (irreversible de-identification making it impossible to re-identify you, even by cross-referencing), to maintain, develop, and improve our Services and our AI models. You have the right to object to this use for the improvement of our models by contacting us at contact@bloodsense.ai.

6. Intellectual Property

All intellectual property rights relating to the Services (including the Site, the underlying AI, trademarks, logos, graphics, texts, generated reports) — with the exception of your rights over the specific Output Data which are assigned to you — are and remain the exclusive property of SMC or its licensors. Nothing in these Terms shall be interpreted as conferring upon you any right of ownership over these elements.

7. Fees and Payment

7.1. Pricing: Access to the generation of a BloodSense report is paid. The applicable prices are those indicated on the Site at the time of your order. Prices are displayed in the applicable currency and include any applicable taxes, unless otherwise stated.

7.2. Payment: Payment is made online via our secure payment service provider, Stripe, Inc. You must provide valid and accurate payment information. We do not store your full credit card details.

7.3. Future Subscriptions: We currently offer single-report purchases only. We may offer subscription plans in the future. If we introduce subscriptions, we will clearly communicate the specific conditions (price, duration, automatic renewal, cancellation) before any subscription, and you will be able to cancel your subscription in accordance with the terms we specify.

7.4. Price Changes: We reserve the right to modify our prices. For any future subscriptions, any price increase will be notified at least 30 days in advance and will only take effect at your next renewal cycle.

8. Right of Withdrawal

8.1. Legal Right of Withdrawal: In accordance with consumer law in force in the United Kingdom and in the EU (Consumer Contracts Regulations 2013 / Directive 2011/83/EU), you normally have a 14-day period to withdraw from a contract concluded at a distance, without having to justify reasons or pay penalties.

8.2. Immediate Delivery of the Service: Our Service consists of the delivery of digital content (the AI-generated report) immediately after your order and the receipt of the necessary information. Since we do not implement a mechanism asking you to expressly consent to immediate delivery AND to expressly acknowledge the loss of your right of withdrawal before this delivery, you retain your legal right to withdraw.

8.3. Exercising the Right of Withdrawal: You may exercise your right of withdrawal within 14 days from the date of your order (or from the date of receipt of the report, if later) by informing us of your decision unambiguously (for example, by email to contact@bloodsense.ai). If you exercise this right, we will reimburse you the full amount paid within a reasonable time and no later than 14 days from the date we receive your withdrawal request.

9. Refund Policy

Refund Policy (Consumer Rights): Independently of the right of withdrawal, you benefit from the legal guarantees applicable to digital services. We strive to provide a functional service and relevant information. However, if you consider that the Service provided presents a major dysfunction or does not conform to its description (taking into account the informational and non-medical nature of the service, and the probabilistic character of AI as described in Section 5.3), please contact us at contact@bloodsense.ai. We will examine your request in accordance with consumer rights under the law of England and Wales (Consumer Rights Act 2015) and in the EU. If your claim is founded, we may propose, as appropriate, a new report generation or a full or partial refund.

10. Termination and Suspension

10.1. By You: You can stop using the Services at any time. Once the Patient Portal functionality is activated, you will be able to close your account via the Patient Portal or by contacting us.

10.2. By Us: We may suspend or terminate your access to the Services, with or without prior notice depending on the gravity of the situation, if we reasonably believe that:

  • You have breached these Terms.
  • Your use of the Services presents a risk to us, our other users, or third parties.
  • We are required to do so to comply with the law.

We may also deactivate an inactive user account after a prolonged period (for example, more than one year), after having informed you in advance if possible.

11. Disclaimers and Limitation of Liability

11.1. “AS IS” SERVICE: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11.2. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SMART MEDICAL CARE LTD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

11.3. Consumer Protection: Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer in the EEA, the UK, or a US state with mandatory consumer protection provisions, these Terms do not affect your statutory rights. In the event of conflict between these Terms and mandatory local consumer protection law, the mandatory law shall prevail.

12. Governing Law and Disputes

12.1. Governing Law: These Terms are governed by the laws of England and Wales.

12.2. Jurisdiction: Any legal action you initiate against us must be brought before the courts of England and Wales. However, if you are a consumer residing in the EEA, you may also bring proceedings in your country of residence. If you are a consumer in the United States, you may also be protected by the mandatory provisions of US federal law and your state’s laws.

12.3. Changes to these Terms: We may modify these Terms at any time. If we make material changes, we will provide you with notice before they become effective. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

13. General Provisions

These Terms, along with our Privacy Policy, represent the entire agreement between you and SMC. You may not assign your rights under these Terms without our consent. If any part of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
